Langston A. Tolbert is the founder of Tolbert Legal, P.C., where he serves as private corporate and transactional counsel to buyers, sellers, founders, privately held companies, and lower-middle-market operators.
Biography
Langston advises clients on acquisitions, financing, commercial relationships, corporate structure, and the legal decisions that accompany growth.
Before founding the firm, Langston practiced at Latham & Watkins, where he worked on sophisticated corporate transactions involving public companies, private equity firms, and other institutional clients. He also gained hands-on experience inside a high-growth company, giving him a practical understanding of how legal decisions affect operations, cash flow, leverage, and execution.
Raised in an entrepreneurial family, Langston understands that owners rarely experience legal questions in isolation. He founded the firm to combine the rigor of sophisticated transactional practice with the commercial judgment of an embedded business adviser and the accountability of a direct attorney-client relationship. Working closely with a limited number of clients, he helps them evaluate risk, structure opportunities, negotiate consequential agreements, and build legal infrastructure that supports the next stage of the business.
Langston graduated magna cum laude from Howard University School of Law. He served as a Senior Staff Editor of the Howard Law Journal, where he published scholarship on community investment, displacement, and revitalization. He also served as a teaching assistant in Torts, Contracts, and Inside Counsel.
Experience
Langston is regularly invited to help entrepreneurs, buyers, contractors, and business owners work through the legal decisions behind transactions, ownership, and risk. His teaching connects legal concepts to practical choices at the negotiating table and inside the business.
Acquisitions & ownership. At New Majority Capital’s bETA LA program, he served as an M&A panelist and facilitated a Legal & Negotiation Workshop, including an interactive LOI drafting exercise. He has also presented on transaction structure for the Southern California Black Chamber of Commerce and on succession and ownership transition for AmPac Business Capital.
Contracts & contractor risk. His workshops for SCORE Southern California / SCORE Los Angeles and ProcureLA addressed government contracting, subcontractor agreements, risk allocation, insurance provisions, termination and cure protections, and teaming arrangements.
